General conditions of Sale

1. INTRODUCTION

1.1 These General Terms and Conditions of Sale (hereinafter referred to as “General Conditions”) regulate the purchase, via the Internet, of the products offered for sale on the website www.torrefazionewillis.com (the “Products”) (the “Site”) , managed by the company Willis snc, with registered office in Via Senese 91, 53036 Poggibonsi (SI), VAT and Cf 01077410528 Registered at the Register of Companies of Siena under no. 1118700, tel. 340.6281851, email info@torrefazionewillis.com, pec info@pec.williscioccolato.it (“Willis”).

1.2 These General Conditions together with this premise are an integral and essential part of the purchase contract of any Product and the submission of an Order (the “Contract”), implies acceptance by the Buyer. 
 Each contract will have exclusively the Products expressly and specifically indicated in it, with the exclusion of any other supply of Products, goods and / or services.

1.3 The use of the distance selling service described in these General Conditions is reserved for Consumers, intended as natural persons acting for purposes unrelated to their commercial, entrepreneurial or professional activity, and to companies that must provide the relative VAT Number for the issue of the sales invoice but nevertheless intended for consumption in the context of its commercial activity (by way of example and not exhaustive office, shop …).

1.4 These conditions do not regulate the supply of services or the sale of products by parties other than Willis Seller, and that may be present or recalled on the site through links, banners or other hypertext links.

1.5 By placing the order on the site, the Buyer declares to have read and understood through their presentation on the site, the product or product details of the order, as well as the instructions and warnings provided in relation to the use that is can reasonably foresee the aforementioned Products and to which the same can be destined. Furthermore, the Buyer declares that the use of the products will comply with the instructions and warnings on the packaging of the same. By making the order, the Buyer also declares to have read, understood and accepted these General Conditions of Sale, the payment methods proposed and the entire purchase procedure.

1.6 The language available to conclude the contract is Italian.

1.7 These General Conditions of Purchase are governed by Italian law and in particular by the Civil Code, by Legislative Decree no. 70/2003 relating to electronic commerce, by Legislative Decree 206 / 2005cd. Consumer Code and Legislative Decree 21/2014 with reference to the law on distance contracts, with the exclusion of application in the case of international sales contracts, of the provisions of the Vienna Convention of 01.04.1980 on contracts for the international sale of movable property, as they are not applicable to relations with consumers. The Buyer is required to read carefully the General Conditions that are made available on this site and below, in order to allow the storage and reproduction by the Buyer in accordance with the provisions of art. 12 of Legislative Decree 70/2003.

 

2. GENERAL CONDITIONS

2.1 The contract is concluded in Italian and binds the Parties at the moment in which both have accepted it. In any case, the contract will be considered accepted once the following formalities have been completed:

     Reading and acceptance through the appropriate button of these General Conditions;

     Compilation in electronic format by entering all the required data, the Shopping Cart (the Order) and containing information on the essential characteristics of each product ordered, indicating the relative price (including taxes and duties), the means of payment that the Buyer may use to purchase each Product, the methods of delivery of the Products purchased, shipping and delivery costs, conditions for the exercise of the right of withdrawal.

     By clicking on “Confirm Order”, the Buyer will formulate a contractual proposal to Willis pursuant to arts. 1326 and 1329 of the Italian Civil Code, concerning the articles contained in the Order.

     The correct receipt of the order is confirmed by Willis by an e-mail reply, sent to the e-mail address communicated by the Buyer. 
 The response is generated automatically by the system and can not be considered in itself acceptance of the order, but only confirmation of receipt of the same. This confirmation message will contain the date and time of receipt of the order and a ‘Buyer Order Number’, to be used in any further communication with

 

Willis. The message re-proposes all the data entered by the Buyer, who undertakes to verify its correctness and to promptly communicate any corrections. The Buyer can also check the status of his order by accessing the web area dedicated to him. To access the dedicated area, the Buyer must login from the site and then select the item “My orders”.

• With the receipt by the Buyer of the explicit confirmation, in writing, of the acceptance of the order sent by Willis or, in the absence of such confirmation, with the delivery of the items covered by the order, a binding contract between Willis and the Buyer (the “Contract”).

2.2 Any right of the Buyer to compensation for damages or compensation is excluded, as well as any contractual or non-contractual liability for direct or indirect damage to persons and / or property caused by the non-acceptance, even partial, of an order.

2.3 The Buyer can only purchase the products in the catalog of the website at the time of placing the order and viewable at the website www.torrefazionewillis.com, as described in the relevant information sheets. All the products in the catalog are represented by graphic images that are the result of digital elaboration, therefore for all the products in the catalog the images shown are represented for mere non-binding illustrative purposes from the contractual point of view.

2.4 The word “available” associated with the displayed product is purely indicative, given the possibility of multiple purchases at the same time by multiple users. For this reason Willis reserves the unquestionable right, once received the order and the relative confirmation of payment by the Buyer, to check the availability of the product object of the same, as well as the right to refuse the Buyer’s order in the case of the product not actually available, with consequent cancellation of the same and without any obligation on the part of Willis towards the Buyer, except to communicate as soon as possible the non-acceptance of the order and to return the sum eventually paid.

2.5 All prices on the website are intended as public prices and therefore inclusive of VAT. Willis reserves the right to change prices at any time, without notice, unless the Buyer’s order has been confirmed by Willis. In this case, the price can no longer be changed.

2.6 Willis has the right not to process purchase orders made in compliance with the foregoing, but for which it has not received payment of the same, or if the data entered by the Buyer were found to be incomplete and / or incorrect. Therefore Willis has the right to terminate the stipulated contract by simply informing the Buyer; in this case the Buyer will have the right exclusively to refund any sum already paid. The guarantee of the good outcome for the payment that the Buyer makes with the means indicated below, are essential, so that by express agreement, the breach by the Buyer of only one of these obligations will determine the termination of the right of the contract ex art. 1456 of the Civil Code, without the need for a judicial decision, without prejudice to Willis’s right to sue for compensation for further damages.

2.7 In the event that the Buyer return the purchased products, he will have to dispatch them exclusively at the headquarters of Willis snc, with Via Senese 91, 53036 Poggibonsi (SI).

2.8 The Buyer explicitly acknowledges that the availability of products indicated on the site may not correspond to the actual availability in stock for reasons of synchrony between the different sales channels of Willis. By virtue of this Willis reserves the right to verify the actual availability of products ordered electronically by the Buyer and in case they prove unavailable Willis will promptly notify the Buyer at the addresses provided and eventually proceed to full or partial refund. It will not be the Buyer’s right to claim in any way on Willis for the non-availability of the products ordered electronically.

3. PAYMENT OF THE PRICE

The Buyer will be able to pay the price of the Products and the relative delivery costs by Advance Bank Transfer, Credit Card, Prepaid Cards and PayPal.

3.1 BANK TRANSFER

In case of payment by bank transfer in advance with costs borne by the Buyer: 
 The order will be processed as soon as a copy of the bank accountant is received, either by email or fax, but the goods will be processed only after receiving confirmation of the bank’s credit;

Payment must be made within 5 working days from the date of the order.

Beyond this deadline, the order will be automatically canceled;

The purpose of the bank transfer must necessarily include number and order date, name and surname of the Buyer;

3.2 CREDIT CARD OR PREPAID

In case of purchase of goods with payment methods Credit Card / Prepaid Card, please note that Willis accepts payments made with the following credit cards: Visa, Mastercard, American Express, Diners, Aura, Maestro. 
 Willis reserves the right to ask the Buyer for additional information (eg landline phone number) or to send copies of documents proving the ownership of the credit card used. In the absence of the required documentation, Willis reserves the right not to accept the order;

At no time during the purchase process Willis is able to know the information relating to the buyer’s credit card, as they are entered directly on the website of the bank that handles the transaction (with very high security systems). Since there is no data transmission, there is no possibility that these data are intercepted; No Willis computer archive will contain or retain such data. In no case, therefore, Willis can be held responsible for any fraudulent and improper use of credit cards by third parties, upon payment of products purchased on www.torrefazionewillis.com.

3.3 PAYPAL

In cases of purchase of goods with PayPal payment methods: 
 Once the order is confirmed, the Buyer will be redirected to the PayPal site where he can make the payment with his account or using a card, even prepaid, or in any case according to the methods accepted by Paypal and in compliance with the relative conditions. At no time during the purchase process Willis is able to know the financial information of the Buyer. Since there is no data transmission, there is no possibility that these data are intercepted. No Willis computer archive contains or retains such data. For every transaction made with the PayPal account, the Buyer will receive an e-mail confirmation from PayPal.

 

4. DELIVERY METHOD

4.1 The Products purchased on the website www.torrefazionewillis.com will be delivered to the address indicated by the Buyer. The Buyer has the right to request delivery of the products to a different physical person of his choice, no deliveries will be made to PO boxes.

4.2 Willis accepts orders with delivery in the territory of the Italian state and in numerous foreign countries. 
 The foreign countries where the shipping service is active are: Austria, Belgium, Bulgaria, Croatia, Denmark, Estonia, Finland, France, Germany, Greece, Ireland, Latvia, Lithuania, Luxembourg, Holland, Poland, Portugal, Principality of Monaco , United Kingdom, Czech Republic, Romania, Slovakia, Slovenia, Spain (except the Canary Islands and Ceuta and Melilla), Sweden, Hungary.

4.3 Willis entrusts its shipments to Corriere Espresso Bartolini Spa 
 4.4 The products ordered by the Buyer are delivered by the Seller to the

Corriere and from the latter to the Buyer equipped with packaging in accordance with industry practice.

As soon as the order is processed, the Buyer will receive a confirmation e-mail which will include a link to refer to for the tracking of the shipment (so-called “Traking number”) through which it will be possible to view, after entering the Courier website, the status of the shipment.

For delivery by the Courier, the presence of the Buyer or a person in charge at the address indicated in the order is required. At the time of delivery of the goods by the Courier, the Buyer is required to check that the number of packages delivered corresponds to what is indicated in the transport document and that the package is intact and not altered. Any damage to the package and / or Products or the mismatch in the number of packages must be immediately challenged by written control reserve on the proof of delivery to the Courier. It is essential to always motivate the Reserve as much as possible, as Generic Reserves may not be taken into consideration by the Carrier.

Once the document has been signed to the Corriere, the Buyer can not make any objection about the external characteristics of the package received in delivery. 
 Signature with Reserve is a Buyer’s Right to which the driver can not object. Even if the package externally seems intact.(Article 1698 CC).

Any damage found after the withdrawal, without having signed the bill with Reserve, may not be reimbursed by the Courier or refunded only partially, as required by the Civil Code (€ 1.00 per kilogram of gross weight). 
 Within 8 days of receipt of the material The Buyer is required to:

– Check the codes and the quantity received: these must be the same as those marked on the accompanying Invoice (or DdT). 
 – Check the condition of the material contained in the packages: it must not show any damage or tampering.

In the case in which you verify an anomaly with respect to what is marked on the accompanying Invoice (or DdT) or damage inside the packages (hereinafter called “hidden damage”), the Buyer must carefully follow the instructions found in the section here followed by “Reporting Anomalies”.

The Buyer has 8 calendar days (including Saturdays, Sundays and holidays in general) to check the material received, as specified in Article 1698 of the Civil Code. After eight days will be lost any right of recourse in the Courier and the entire responsibility, legally, will fall exclusively on the Buyer who has not operated in the right time to protect their rights.

 

5. TRANSPORT COSTS

Transport and delivery costs, taxes and taxes are entirely borne by the Buyer and are clearly indicated on the Website and in the order form. 
 In the absence of specific insurance, the Seller is not responsible for any damage that may occur to goods during transport, including theft.

 

6. DELIVERY TIMES

6.1 Delivery times for Italy, from the time of taking charge of the shipment from

part of the courier, ranging from 24 to 96 hours, depending on the destination of the goods.

6.2 Delivery times for foreign countries, from the time of delivery of the shipment by the courier, vary from 24 to 168 hours, depending on the destination of the goods and the shipping method used.

6.3 Willis will not be responsible for non-delivery or delayed delivery due to force causes

greater, such as – merely by way of non-exhaustive example – strikes,

provisions of the Public Authority, rationing or lack of energy or raw materials, transport difficulties, fires, floods, flooding, heavy snowfall and damage to industrial machinery not dependent on Willis fault. Willis will promptly inform the Buyer of the occurrence and termination of a force majeure case.

7. ANOMALY SIGNALING 7.1 DAMAGED COLORS

If the shipment has been accepted with reserve, describing the external damage, the Buyer must send, within and not later than 8 calendar days from the receipt (the date on the envelope is valid), a registered letter to the Carrier, and to Willis in copy knowledge, describing the damage suffered, attaching photographic documentation to support taken at the time of delivery of the package by the Courier.

After checking with the Courier, Willis will inform the Buyer of the authorization for the return of the damaged material and will subsequently send the replacement material or issue a Credit Note.

7.2 MISSING COLLI

If the shipment has been accepted subject to lack of packages, the Buyer must send an email to info@torrefazionewillis.com, communicating the incident and attaching the delivery note (or the transport document) signed with reserve for missing package.

After checking with the Courier, Willis will send the missing goods as a supplement.

7.3 LACK OF MATERIAL INSIDE THE COLLI

Within 8 calendar days from receipt of the shipment, the Buyer must send an email to info@torrefazionewillis.com, communicating the incident. 
Once the inventory check has been carried out with the warehouse, Willis will send the missing goods as a supplement.

7.4 CODES INVERSION

Within 8 calendar days from receipt of the shipment, the Buyer must send an email to info@torrefazionewillis.com, communicating what happened and taking care to indicate the product code or a detailed description of the item received.

Once the inventory check has been carried out with the warehouse, Willis will issue the Buyer with the authorization to return the goods sent incorrectly and then the ordered goods will be processed.

 

7.5 OCCULT DAMAGE

If damage has been found to the material within an intact package and the shipment has been accepted subject to quality control, the Buyer must send, no later than 8 calendar days from receipt (the date on the envelope), a registered return receipt to the Carrier (and to Willis in copy), considering it responsible for all possible consequences.

The registered letter must contain the following information: 
 – All shipping data: n. transport document, document date, product code with anomaly, anomalous quantity 
 – The description of how the neck appeared at the reception and the damage found

To allow a quick and correct resolution of the anomaly found, we request the sending of some photos of the external packaging and of the damaged product to the email address info@torrefazionewillis.com. 
 In the event that the Courier accepts the insurance coverage, Willis will inform the Buyer of the authorization for the return of the damaged material and subsequently the shipment of the replacement material will be carried out or a Credit Note will be issued.

It is understood that no reports of transport anomalies will be accepted after the 8 calendar days from receipt of the goods.

8. RIGHT OF WITHDRAWAL

Pursuant to current legislation, the term “Consumer” is defined as a physical person who concludes a distance purchase or away from commercial premises, for purposes not related to his professional or business activity, or does not make the purchase by indicating in the order form a reference to VAT number, which, has the right to withdraw from the purchase contract for any reason, without the need to provide explanations and without any penalty, except as established by the Consumer Code.

To exercise the right of withdrawal, the Buyer must send to Willis by registered letter A / R, an explicit declaration of withdrawal from the contract, no later than 14 days from the date of receipt of the goods by the same or a designated third party. 
 The Buyer must indicate specifically for which of the purchased Products intends to use the right of withdrawal, indicating the progressive order number issued at the time of purchase.

9. RETURN OF GOODS

9.1 The return costs of the Products are the sole responsibility of the Buyer.

9.2 Received the communication of the Buyer, Willis will send by e-mail to the same the form of exercise of the right of withdrawal provided with authorization number, which must be attached by the Buyer to the outside of the casing in which the goods to be returned will be placed.

9.3 The Purchaser must therefore send the goods in their original packaging and integrate it to Willis (at the address indicated in the Return form) within 7 days of receipt of the exercise form of the right of withdrawal, by post or express courier.

9.4 The shipment of the returned Products, up to the actual delivery by the Carrier to Willis, evidenced by a specific delivery document, is under the complete responsibility of the Buyer.

9.5 In case of damage to the goods during transport, Willis will inform the Buyer of the incident (within 5 working days of receipt of the goods at their premises), to allow him to promptly report his complaint to the courier chosen by him and obtain a refund of the value of the goods (if insured); in this case, the product will be made available to the Buyer for his return, with simultaneous cancellation of the withdrawal request.

9.6 In any case, each delivery will contain easy instructions for the return of the Products.

9.7 In case of exercise of the right of withdrawal, Willis will refund the full price of the Products provided that these are returned by the Buyer in normal condition and only if the return instructions above will be correctly respected. 
 The reimbursement will take place using the same payment method used for the initial transaction, unless the Buyer has expressly agreed otherwise: by a transfer of the amount charged to the Credit Card, then, or by a transfer of the transaction carried out on PayPal, or by bank transfer. In the latter case, the Buyer will promptly provide the bank details on which to obtain the reimbursement (IBAN code, exact name of the holder of the current account, company name and headquarters of the Bank Institute).

Willis undertakes to promptly repay to the Buyer, within and no later than 15 days from the date of return of the Products, the amount paid by him for the purchase of the returned goods. 
 Willis reserves the right to refuse the return of those Products that do not comply with these requirements.

9.8 In the event of exclusion of the right of withdrawal or in the event that this is requested not respecting the methods indicated therein, Willis will return the purchased Products to the Purchaser, charging the same to the shipping costs.

10. DEADLINE FROM THE RIGHT OF WITHDRAWAL

10.1 The right of withdrawal applies to the product purchased in its entirety; It is not possible

exercise withdrawal only on part of the product purchased.

10.2 The right of withdrawal is lost for lack of the essential condition of product integrity in the case at the time of receipt of the market, Willis ascertains that: 1) The product has been damaged, 2) the product has also been partially used, 3) absence and / or evident damage to the original packaging, 4) absence of elements integrating the product or damage to the same.

The purchased good must be intact and returned in the original packaging, complete in all its parts (including packaging and any documentation and accessory equipment); to limit damage to the original packaging, it is recommended to insert it, when possible, in a second box, on which must be affixed the number of RMA (return authorization code) issued by Willis; in all cases the affixing of labels or adhesive tapes directly onto the original packaging of the product should be avoided;

10.3 The asset subject to exercise of the right of withdrawal must be returned without manifest signs of use.

11. EXCLUSION OF THE RIGHT OF WITHDRAWAL

The right of withdrawal does not apply:

        for all orders in which the consideration that the consumer must pay is not superior to € 50.00;

        for the supply of tailor-made or clearly personalized goods;

        for the supply of goods that are liable to deteriorate or expire rapidly;

 

– for the supply of sealed goods that can not be returned for hygienic reasons or related to health protection and have been opened after delivery;

– for contracts concluded with Professional customers. 
 With reference to the subsections of the Consumer Code, listed above, the Buyer is informed and accepts that among the Products that “risk to deteriorate or expire rapidly” are included all the food products (wine, spirits and beverages are incuded). Therefore, for reasons of hygiene and protection of customers, the right of withdrawal is only applicable for Products purchased on the Site that can be returned to Willis and marketed without danger to consumer health

12. LEGAL WARRANTY

12.1 In relation to any defect in the Products, only a guarantee for their replacement, with a duration of 24 months from delivery to the Buyer, applies with effect from the delivery date. 
 12.2 The guarantee consists in the replacement of the Products at the expense of the Seller. 
 To use the warranty, the Buyer must keep the invoice (or DDT) that he will receive together with the purchased goods. The Buyer may request a copy of the document by mail. 
 12.3 The legal guarantee of 2 years applies to the product that presents a lack of conformity, provided that it has been used correctly, respecting its intended use and as provided in the attached technical documentation. 
 This guarantee is reserved only for the private consumer (a natural person who buys the goods for purposes not related to his professional activity or makes the purchase without indicating in the order form a reference of VAT number). 
 12.4 In case of lack of conformity, Willis will provide pursuant to art. 130 of Legislative Decree no. 206/2005, according to the Buyer’s requests and on condition that the type of Product allows it, to restore, without charge, the conformity of the Product by repair or replacement, or an appropriate reduction in price or termination of the contract. 
 In the event that, for any reason, Willis is not able to replace a product under warranty, it may proceed, subject to the Buyer’s consent, to replace it with a product of the same characteristics and value or, finally, to issue a voucher discount equal to the amount spent by the Buyer, which can be spent on another product, valid for 6 months from the time of issue. 
 12.5 In cases where the application of the guarantees provides for the return of the product, the goods must be returned by the Buyer in the original packaging, complete in all its parts (including packaging and any documentation and accessory equipment). 
 To limit damage to the original packaging, it is recommended to insert it, when possible, in a second box. In all cases, the affixing of labels or adhesive tapes directly onto the original packaging of the product should be avoided. 
 The costs of transporting the goods are to be considered at the expense borne by the Buyer and return to be paid by Willis. In the event that the product sent to us proves to be working, also the transport costs of it will be borne by the Buyer. 
 12.6 The Buyer loses all rights under art. 130 of Legislative Decree no. 206/2005, if it does not report to Willis the lack of conformity no later than 60 days from the date on which it was discovered, unless it is a product that by its nature is perishable or subject to expiry in a shorter term, in which case the defect must be reported within this reduced period. 
 12.7 No responsibility can be attributed to the Seller for damages of any kind that may derive from improper use, poor maintenance and / or behavior that differs from the instructions and warnings provided by the Seller and present on the Website, on the Products and / or in the packages through which the products are delivered. 
 12.8 For each product purchased by a Professional Buyer, the latter will benefit from the warranty for defects of the thing sold as per art. 1490 et seq. of the CC; the action of the Professional Buyer aimed at asserting the warranty for defects is prescribed after 1 year from the delivery of the Product purchased and the relevant defects must be reported within the terms and conditions established by art. 1495 of the CC

13. BUYER’S OBLIGATIONS

Il Compratore è tenuto ad osservare la più assoluta riservatezza ed a non fare uso alcuno, anche successivamente al termine del Contratto, di tutte le informazioni di carattere tecnico o commerciale (quali, in via meramente esemplificativa, disegni, prospetti, documentazioni, formule, cataloghi, manuali d’uso, frequently asked questions, codici-prodotto, listini prezzie corrispondenza; di seguito, le “Informazioni”) ricevute dal Venditore o comunque apprese in esecuzione del Contratto o durante l’effettuazione di ordini tramite Internet. 
 Resta inteso che l’accesso alle Informazioni non farà sorgere in capo al Compratore alcun diritto sulle medesime, rimanendo pertanto escluso ogni trasferimento di diritti sulle Informazioni a titolo di licenza o ad altro titolo. 
 In considerazione di quanto previsto, il Compratore si impegna a non duplicare, divulgare o utilizzare le Informazioni, in nessuna forma, al fine di svolgere o far svolgere attività in concorrenza – anche potenziale – con quelle del Venditore (anche successivamente al termine del proprio rapporto contrattuale con il Venditore) in via diretta o indiretta, in proprio, 
 tramite e/o per conto di terzi.

14. COMUNICAZIONI

Tutte Le comunicazioni previste dal Contratto, senza eccezione alcuna, come anche quelle che le parti abbiano comunque a effettuare in esecuzione dello stesso, devono essere effettuate a pena di inefficacia in forma scritta (per tale intendendosi anche la posta elettronica). 
 Le dette comunicazioni prendono efficacia al momento in cui giungono agli indirizzi dell’altro contraente, tra cui l’eventuale indirizzo di posta elettronica. Ogni variazione di indirizzo di una parte deve dalla stessa essere tempestivamente comunicata all’altra.

15. ERRORI

Le informazioni relative ai Prodotti fornite sul Sito sono costantemente aggiornate. Non è tuttavia possibile garantire la completa assenza di errori. 
 Willis si riserva il diritto di correggere gli errori, le inesattezze o le omissioni anche dopo che sia stato inviato un ordine e altresì di cambiare o aggiornare le informazioni in qualsiasi momento senza preventiva comunicazione.

16. PROMOZIONI ED OMAGGI

Le eventuali promozioni proposte da Willis sono valide fino ad esaurimento scorte dei 
 prodotti e/o fino alla data specificata nella promozione stessa nonché nei limiti di acquisto indicati.

17. CAPSULE E CIALDE CAFFE’ COMPATIBILI

L’assortimento di capsule e cialde compatibili viene commercializzato dal Venditore con indicazione dei formati compatibili per uso di macchine a capsule espresso dei marchi “Nespresso”, “Lavazza a Modo Mio”, “Lavazza Blue”, “Lavazza Espresso Point”,”Nescafè Dolce Gusto”. 
 Willis snc non ha alcun collegamento con i predetti marchi registrati di proprietà di società terze.

 La vendita di capsule compatibili non deve essere confusa con la creazione di copie e/o 
 contraffazione delle più famose capsule.

17. FATTURAZIONE

Ai fini dell’imposta Iva, le operazioni di commercio elettronico indiretto, ovvero quelle operate sul sito della Willis, sono assimilabili alle vendite per corrispondenza e pertanto non sono 
 soggette all’obbligo di emissione della fattura come previsto dall’art. 22 del DPR n. 633 del 1972, né all’obbligo di certificazione mediante emissione dello scontrino o della ricevuta fiscale ai sensi dell’articolo 2 lettera oo del dPR 21 dicembre 1996, n. 696. Pertanto il Compratore in caso di necessità di fattura è sollecitato a richiederla nelle modalità indicate dalla legge, ovvero entro e non oltre il momento di effettuazione dell’operazione attraverso gli strumenti di contatto messi a disposizione dalla Willis.

18. CONTROVERSIE E FORO COMPETENTE

I Contratti stipulati on line dal Compratore con il Venditore Willis sono regolati dalla legge italiana, per tutto quanto qui non espressamente disposto, valgono le norme di legge applicabili ai rapporti ed alle fattispecie previste nel contratto stipulato on line tra il Compratore ed il Venditore. 
 Ogni controversia relativa all’esecuzione, applicazione, interpretazione e violazione del contratto stipulato è sottoposta alla giurisdizione italiana, e la competenza territoriale inderogabile sarà quella del Giudice del luogo di residenza o domicilio del Consumatore, se ubicati nel territorio italiano. 
 In tutti gli altri casi, le Parti congiuntamente individuano la competenza esclusiva per territorio del Foro di Siena.

19. CLAUSOLE VESSATORIE

Ai sensi degli articoli 1341 e 1342 cc il Compratore dichiara di aver letto attentamente e di accettare espressamente le presenti Condizioni Generali di Vendita di Willis.

12. GARANZIA LEGALE

12.1 In relazione ad eventuali difetti dei Prodotti si applica, con decorrenza dalla data di consegna, unicamente una garanzia per la sostituzione degli stessi, avente durata di 24 mesi dalla consegna al Compratore.
12.2 La garanzia consiste nella sostituzione dei Prodotti a cura e spese del Venditore.
Per fruire dell’assistenza in garanzia, il Compratore dovrà conservare la fattura (o il DDT) che riceverà insieme ai beni acquistati. Il Compratore potrà richiedere eventualmente copia del documento tramite apposita mail.
12.3 La garanzia legale di 2 anni, si applica al prodotto che presenti un difetto di conformità, purché lo stesso sia stato utilizzato correttamente, nel rispetto della sua destinazione d’uso e di quanto previsto nella documentazione tecnica allegata.
Tale garanzia è riservata solo al Consumatore privato (persona fisica che acquista la merce per scopi non riferibili alla propria attività professionale ovvero effettua l’acquisto senza indicare nel modulo d’ordine un riferimento di Partita IVA).
12.4 In caso di difetto di conformità, Willis provvederà ai sensi dell’art. 130 del D.Lgs. n. 206/2005, secondo le richieste del Compratore e a condizione che la tipologia del Prodotto lo consenta, al ripristino, senza spese, della conformità del Prodotto mediante riparazione o sostituzione, oppure ad una adeguata riduzione del prezzo o alla risoluzione del contratto.
Nell’ipotesi in cui, per qualsiasi ragione, Willis non fosse in grado di sostituire un prodotto in garanzia, essa potrà procedere, previo consenso del Compratore, alla sua sostituzione con prodotto di pari caratteristiche e valore o, infine, al rilascio di un buono sconto di importo uguale a quello speso dal Compratore, spendibile su un altro prodotto, con validità di 6 mesi dal momento del rilascio.
12.5 Nei casi in cui l’applicazione delle garanzie preveda la restituzione del prodotto, il bene dovrà essere restituito dal Compratore nella confezione originale, completa in tutte le sue parti (compresi imballo ed eventuale documentazione e dotazione accessoria).
Per limitare danneggiamenti alla confezione originale, si raccomanda di inserirla, quando possibile, in una seconda scatola. Va evitata in tutti i casi l’apposizione di etichette o nastri adesivi direttamente sulla confezione originale del prodotto.
I costi dei trasporti della merce sono da considerarsi all’andata a carico del Compratore ed al ritorno a carico di Willis. Nel caso in cui il prodotto inviatoci risultasse funzionante, anche le spese di trasporto di esso saranno a carico del Compratore.
12.6 Il Compratore decade da qualsiasi diritto previsto dall’art. 130 del D.Lgs. n. 206/2005, se non denuncia a Willis il difetto di conformità entro e non oltre il termine di 60 giorni dalla data in cui questo è stato scoperto, sempre che non si tratti di Prodotto che per sua natura è deperibile o soggetto a scadenza in un termine più breve, nel qual caso il difetto dovrà essere denunciato entro tale termine ridotto.
12.7 Nessuna responsabilità può essere attribuita al Venditore per danni di qualsiasi tipo che dovessero derivare dall’uso improprio, dalla cattiva manutenzione e/o da comportamenti difformi da quanto previsto dalle istruzioni e dalle avvertenze fornite dal Venditore e presenti sul Sito, sui Prodotti e/o nelle confezioni attraverso le quali i prodotti stessi vengono consegnati.
12.8 Per ciascun prodotto acquistato da un Compratore Professionista, quest’ultimo beneficerà della garanzia per vizi della cosa venduta di cui all’art. 1490 e segg. del C.C.; l’azione del Compratore Professionista volta a far valere la garanzia per vizi si prescrive decorso 1 anno dalla consegna del Prodotto acquistato e i relativi vizi dovranno essere denunciati entro i termini e alle condizioni stabilite dall’art. 1495 del C.C.

13. OBBLIGAZIONI DEL COMPRATORE

Il Compratore è tenuto ad osservare la più assoluta riservatezza ed a non fare uso alcuno, anche successivamente al termine del Contratto, di tutte le informazioni di carattere tecnico o commerciale (quali, in via meramente esemplificativa, disegni, prospetti, documentazioni, formule, cataloghi, manuali d’uso, frequently asked questions, codici-prodotto, listini prezzie corrispondenza; di seguito, le “Informazioni”) ricevute dal Venditore o comunque apprese in esecuzione del Contratto o durante l’effettuazione di ordini tramite Internet.
Resta inteso che l’accesso alle Informazioni non farà sorgere in capo al Compratore alcun diritto sulle medesime, rimanendo pertanto escluso ogni trasferimento di diritti sulle Informazioni a titolo di licenza o ad altro titolo.
In considerazione di quanto previsto, il Compratore si impegna a non duplicare, divulgare o utilizzare le Informazioni, in nessuna forma, al fine di svolgere o far svolgere attività in concorrenza – anche potenziale – con quelle del Venditore (anche successivamente al termine del proprio rapporto contrattuale con il Venditore) in via diretta o indiretta, in proprio,
tramite e/o per conto di terzi.

14. COMUNICAZIONI

Tutte Le comunicazioni previste dal Contratto, senza eccezione alcuna, come anche quelle che le parti abbiano comunque a effettuare in esecuzione dello stesso, devono essere effettuate a pena di inefficacia in forma scritta (per tale intendendosi anche la posta elettronica).
Le dette comunicazioni prendono efficacia al momento in cui giungono agli indirizzi dell’altro contraente, tra cui l’eventuale indirizzo di posta elettronica. Ogni variazione di indirizzo di una parte deve dalla stessa essere tempestivamente comunicata all’altra.

15. ERRORI

Le informazioni relative ai Prodotti fornite sul Sito sono costantemente aggiornate. Non è tuttavia possibile garantire la completa assenza di errori.
Willis si riserva il diritto di correggere gli errori, le inesattezze o le omissioni anche dopo che sia stato inviato un ordine e altresì di cambiare o aggiornare le informazioni in qualsiasi momento senza preventiva comunicazione.

16. PROMOZIONI ED OMAGGI

Le eventuali promozioni proposte da Willis sono valide fino ad esaurimento scorte dei
prodotti e/o fino alla data specificata nella promozione stessa nonché nei limiti di acquisto indicati.

17. CAPSULE E CIALDE CAFFE’ COMPATIBILI

L’assortimento di capsule e cialde compatibili viene commercializzato dal Venditore con indicazione dei formati compatibili per uso di macchine a capsule espresso dei marchi “Nespresso”, “Lavazza a Modo Mio”, “Lavazza Blue”, “Lavazza Espresso Point”,”Nescafè Dolce Gusto”.
Willis s.n.c. non ha alcun collegamento con i predetti marchi registrati di proprietà di società terze.
L’indicazione degli stessi è data solo ed esclusivamente per identificare le macchine ad uso domestico in cui possono utilizzare le capsule commercializzate da Willis.
La vendita di capsule compatibili non deve essere confusa con la creazione di copie e/o
